Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Lightcrawl, Inc. ("Lightcrawl," "we," "us," or "our"), collectively referred to as the "Services." By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Accounts and Eligibility
To use certain features of the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
Accounts may be owned by an individual or by a legal entity acting through an authorized representative. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Subscriptions, Billing, and Cancellation
Paid access to the Services is offered on a subscription basis. By selecting a paid plan, you authorize us (and our payment processor) to charge the payment method on file according to the pricing and billing terms described at checkout.
Monthly Auto-Renewal
Paid subscriptions are billed monthly in advance and will automatically renew at the end of each billing period for successive terms of the same length at the then-current price, unless cancelled before the renewal date. By starting a paid subscription, you consent to recurring charges on your payment method until you cancel.
Cancellation
You may cancel your subscription at any time from the billing portal in your account. When you cancel, your subscription remains active through the end of the current billing period, and no further charges will be made after that period ends. You will retain paid access to the Services until the end of the billing period in which you cancelled.
Plan Changes
You may change your plan at any time. Upgrades to a higher-priced plan take effect immediately, and we will prorate and charge the difference between the remaining value of your current plan and the new plan for the remainder of the current billing period.
Downgrades to a lower-priced plan take effect at the end of the current billing period. Until the downgrade takes effect, you retain access to the features and limits of your current plan. You may cancel a scheduled downgrade any time before it takes effect.
No Refunds for Partial Periods
Except where required by applicable law, all fees are non-refundable. We do not issue refunds or credits for partial billing periods, unused portions of a subscription, unused features, or account downgrades. Cancelling a subscription does not entitle you to a refund of previously paid fees. Additional details are available in our Refund Policy.
Taxes
Fees do not include taxes. You are responsible for any applicable sales, use, value-added, or similar taxes. Where we are required to collect such taxes, they will be added to your invoice and charged to your payment method.
Price Changes
We may change the fees for any plan from time to time. We will provide reasonable advance notice of price changes that will affect your subscription, and any new price will take effect no earlier than your next renewal. If you do not agree to a price change, you may cancel before it takes effect.
Failed Payments
If a payment is declined, we may suspend or limit your access to the Services until the payment is resolved. If a payment remains unresolved after a reasonable period, we may terminate your subscription and downgrade your account to the free tier or close the account.
Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
- Interfere with or disrupt the integrity, security, or performance of the Services or any data contained therein;
- Attempt to gain unauthorized access to the Services, other accounts, or related systems or networks;
- Use the Services to crawl, audit, or otherwise access any website or system you do not have permission to access;
- Resell or sublicense the Services except as expressly permitted in writing by us.
Intellectual Property
The Services, including all software, designs, trademarks, and content that we provide, are owned by Lightcrawl or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You retain ownership of the data and content you submit to the Services.
Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any defects will be corrected.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Lightcrawl be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our total cumulative liability arising out of or relating to these Terms or the Services will not exceed the amounts paid by you to us in the twelve months preceding the event giving rise to the claim.
Termination
You may stop using the Services at any time and may close your account through the Services. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Services. Upon termination, the provisions of these Terms that by their nature should survive termination will remain in effect.
Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where the changes are material, provide additional notice through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. The exclusive venue for any dispute arising out of or relating to these Terms will be the state and federal courts located in California, and you consent to the jurisdiction of those courts.
